Terms & Conditions of Trade

These Terms & Conditions ("Terms") govern all wholesale sales made by Blackforge Distribution ("we", "us", "our") to approved trade customers ("you", "your" or "Customer").

By applying for a trade account, placing an order or purchasing products from us, you agree to be bound by these Terms.

1. Trade Accounts

1.1 Wholesale purchasing is available exclusively to registered businesses purchasing goods for resale.

1.2 All trade account applications are subject to approval. Blackforge Distribution reserves the right to approve, refuse, suspend or terminate any account at its sole discretion.

1.3 Applicants must provide accurate and up-to-date business information. We may request additional documentation to verify your business before approving an account.

1.4 Approved customers will receive access to wholesale pricing, stock availability and trade ordering.

1.5 The minimum order value for all wholesale orders is £100.00 excluding delivery charges.

1.6 New trade customers will initially receive a New Customer Trade Account for a period of four (4) months. During this period, customers are expected to place at least one qualifying wholesale order every two months to maintain an active account.

1.7 Following the initial four-month period, customers will automatically move to a Standard Trade Account. Standard Trade Accounts must place at least one qualifying order every three months to remain active.

1.8 Trade accounts that remain inactive may be suspended or closed without notice.

2. Orders

2.1 Blackforge Distribution maintains stock within our own warehouse and supplies products subject to stock availability.

2.2 Orders may be placed through our trade website or any other authorised ordering method.

2.3 All orders are subject to acceptance by Blackforge Distribution.

2.4 Submission of an order does not guarantee acceptance or product availability.

2.5 Stock is allocated only after payment has been received in full, unless an approved credit account is in place.

2.6 Until payment has cleared, products remain available for purchase by other customers.

2.7 If an item becomes unavailable before payment is received, we will contact you to discuss a suitable replacement, credit or refund.

3. Pricing & VAT

3.1 Unless otherwise stated, all prices displayed include VAT.

3.2 Products sold under the Global Margin Scheme will be identified accordingly. Products outside the Margin Scheme will be charged at the prevailing UK VAT rate.

3.3 Prices may change without notice. Confirmed orders will not be affected by future price changes.

4. Payment

4.1 Payment must be received in full before dispatch unless a written credit agreement has been approved.

4.2 Accepted payment methods are displayed during checkout.

4.3 Failure to make payment may result in:

• cancellation of outstanding orders;
• suspension of your trade account;
• recovery of outstanding balances together with any applicable statutory interest and recovery costs.

5. Shipping & Delivery

5.1 Wholesale delivery charges are:

• £6.99 on orders between £100.00 and £349.99
• Free UK delivery on orders of £350.00 or more

5.2 Delivery estimates are provided in good faith but are not guaranteed.

5.3 Risk in the goods transfers to the customer once the shipment has been handed to the courier.

5.4 Customers must inspect all deliveries immediately upon receipt.

5.5 Any shortages, incorrect items or transit damage must be reported within 48 hours of delivery.

6. Pre-Orders & Product Allocations

6.1 Certain products may be offered for pre-order prior to their official release.

6.2 Pre-order quantities are not guaranteed and may be subject to supplier allocations.

6.3 Where supplier allocations are lower than expected, Blackforge Distribution reserves the right to reduce, amend or cancel quantities supplied.

6.4 Allocation decisions may take into account supplier availability, previous purchasing history and order volumes.

6.5 Customers will be notified as soon as reasonably possible if allocations change.

6.6 Approved cancellations of pre-orders may incur:

• a cancellation fee of 2% of the order value;
• deduction of any payment processing fees;
• deduction of supplier costs already incurred.

Repeated cancellation of pre-orders may result in suspension or closure of your trade account.

7. Damaged, Missing or Incorrect Goods

7.1 Claims must be submitted within 48 hours of delivery.

7.2 Claims must include photographs of the outer packaging and affected products where applicable.

7.3 Claims submitted outside this period may be declined.

8. Returns

8.1 Returns require prior written authorisation.

8.2 Returned products must be unopened, unused and in their original resalable condition.

8.3 Returns will not be accepted for:

• change of mind;
• ordering errors;
• excess stock;
• opened or tampered products;
• allocated products;
• pre-order products unless faulty or supplied incorrectly.

9. Product Condition

9.1 All products supplied by Blackforge Distribution are genuine.

9.2 Factory seals, shrink wrap and retail packaging may contain minor cosmetic imperfections that do not affect the product and shall not be considered defects.

9.3 Card contents are randomly inserted by the manufacturer. We cannot guarantee pull rates, chase cards or sealed product contents.

10. Trade Account Conduct

10.1 Trade customers must conduct business professionally and honestly at all times.

10.2 We reserve the right to suspend or permanently close trade accounts where customers engage in:

• fraud;
• chargebacks;
• abusive or threatening behaviour towards staff;
• misuse of wholesale pricing;
• abuse of product allocations;
• false or misleading information;
• breaches of these Terms.

11. Retention of Title

Ownership of all goods remains with Blackforge Distribution until payment has been received in full for all outstanding invoices.

12. Limitation of Liability

To the fullest extent permitted by law, our total liability shall not exceed the purchase price of the goods supplied.

Blackforge Distribution shall not be liable for any indirect or consequential losses, including loss of profit, business interruption, loss of goodwill or economic loss.

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

13. Force Majeure

We shall not be liable for any delay or failure to fulfil our obligations resulting from circumstances beyond our reasonable control, including supplier shortages, transport disruption, customs delays, natural disasters, strikes, pandemics, cyber incidents or government action.

14. Data Protection

We process all personal information in accordance with UK GDPR and applicable UK data protection legislation.

15. Intellectual Property

All trademarks, logos, photographs, product descriptions, graphics and other content created by Blackforge Distribution remain our intellectual property and may not be reproduced without our prior written consent.

16. Governing Law

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
